4. Quotations and Pricing

All quotations provided through this Site or via email are:
·Valid for 30 days from the date of issue, unless otherwise stated
·Subject to confirmation at the time of order placement
·Based on current raw material costs and exchange rates, which may fluctuate
·Exclusive of destination taxes, import duties, and local charges unless explicitly stated
We reserve the right to adjust prices due to changes in raw material costs, currency exchange rates, or government tariffs. Any price change will be communicated before you confirm your order.

5. Orders and Contracts

An order placed through this Site or via email constitutes a purchase enquiry, not a binding contract. A contract for the sale of products is formed only when:
·We issue a Proforma Invoice (PI) confirming the order details, price, and delivery terms; and
·You sign and return the PI, or make the required deposit payment
Once the contract is formed, modifications or cancellations may only be made with our written consent and may be subject to cancellation charges for work already in progress.
6. Trade Terms (Incoterms 2020)

Unless otherwise agreed in writing, our standard trade terms are:
·EXW Foshan (Ex Works) — The buyer is responsible for all costs and risks from our factory in Foshan, including domestic transport, export clearance, international freight, and import clearance.
·FOB Guangzhou (Free On Board, Nansha Port) — We are responsible for delivery to the port and export clearance. The buyer assumes risk and cost once goods are loaded on board the vessel.
·CIF / DAP — Available on request for specific projects, subject to quotation.
Incoterms are interpreted in accordance with Incoterms 2020 published by the International Chamber of Commerce.

7. Payment Terms

Unless otherwise agreed in the Proforma Invoice, our standard payment terms are:
·30% deposit by T/T (bank transfer) upon order confirmation
·70% balance by T/T before shipment, or upon presentation of Bill of Lading copy
Sample orders (1–3 panels) may be paid in full in advance. Sample charges are refundable against the first commercial order.
Production does not commence until the deposit payment is received and cleared in our bank account.

8. Production and Delivery

Standard production lead times (from deposit receipt to ready-for-shipment):
·HPL panels & lockers: 15–20 working days
·Aluminum/SPC honeycomb panels: 20–25 working days
·Stainless steel partitions: 25–30 working days
·Cut-to-size & custom fabrication: Add 3–7 working days
Lead times are estimates based on current production capacity and may vary during peak seasons (March–May, September–November). We will confirm the actual delivery date in the Proforma Invoice.
We are not liable for delays caused by events beyond our reasonable control (see Section 13, Force Majeure).

9. Quality Inspection and Acceptance

All products undergo 100% panel inspection and pre-assembly QC before packing. Buyers or their appointed third-party inspectors are welcome to visit our factory for pre-shipment inspection.
Inspection window: We will notify you when goods are ready for inspection. Inspection must be completed within 5 working days of notification. If no inspection is performed within this window, goods will be deemed accepted and shipped.
Claims: Any claim for shortage, damage, or quality defect must be submitted in writing within 15 days of receiving the goods, accompanied by photographs and the packing list reference. Claims submitted after this period will not be considered.

10. Warranty

We warrant that our products are free from manufacturing defects in materials and workmanship under normal use and proper maintenance for the following periods:
·HPL compact panels: 10 years against delamination and structural failure
·Aluminum/SPC honeycomb panels: 5 years against core separation
·Stainless steel panels: 5 years against manufacturing defects
·Hardware (hinges, locks, brackets): 2 years against mechanical failure
This warranty does not cover:
·Damage caused by improper installation, misuse, or unauthorised modification
·Normal wear and tear, including surface scratches and colour fading from UV exposure
·Damage from exposure to conditions beyond the product's rated specifications (e.g., SS201 used in coastal/marine environments without appropriate coating)
·Costs of removal, reinstallation, or transportation of replacement products
Warranty claims must be submitted with the original order reference and photographic evidence. Approved claims will be remedied by replacement of the defective product or credit toward the next order, at our discretion.

11. Intellectual Property

All content on this Site — including but not limited to product designs, technical drawings, photographs, logos, brand names, text, graphics, and software — is the property of Gentleman Al. Co., Ltd. or its licensors and is protected by applicable intellectual property laws.

12. Limitation of Liability

·Construction delays or penalties imposed by your end-customers
Our total aggregate liability for any claim arising from the sale of products shall not exceed the invoice value of the specific products that are the subject of the claim.

13. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to:
·Natural disasters (earthquakes, floods, typhoons, pandemics)
·War, armed conflict, terrorism, or civil unrest
·Government actions, export/import restrictions, or trade sanctions
·Labour disputes, strikes, or factory closures
·Shortages of raw materials or utilities beyond our control
·Failure of subcontractors or logistics providers due to the above
In such events, we will notify you promptly and make commercially reasonable efforts to resume performance as soon as possible. If the force majeure event continues for more than 60 days, either party may cancel the affected order without penalty.

14. Export Compliance

As a China-based exporter, we comply with all applicable Chinese export control laws and regulations. Buyers are responsible for ensuring that the import of our products into their destination country complies with all local laws, including but not limited to:
·Import licensing requirements
·Product certification and marking requirements (e.g., CE marking for EU, SIRIM for Malaysia, TISI for Thailand)
·Customs duties, taxes, and preferential tariff documentation (e.g., ASEAN-China FTA Form E)
We will provide all necessary export documentation from our side, including Commercial Invoice, Packing List, Certificate of Origin, and applicable certificates.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising from your use of the Site or purchase of our products shall be governed by the laws of the People's Republic of China, without regard to conflict-of-law principles.

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to arbitration at the Guangzhou Arbitration Commission, in accordance with its arbitration rules in effect at that time. The arbitration shall be conducted in English, and the arbitral award shall be final and binding on both parties.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page.
